During last week, Yeovil Town Chairman John Fry issued a letter to the Glovers Trust, concerning the club's ownership and the existence of two Legal Charges against stadium assets. For the first letter that was sent by Mr Fry, my view was that it fell a long way short of answering the questions the Trust had fielded, and felt rather obstructive in the way that it was worded.

Thankfully, having read the second letter from Mr Fry that was sent last Wednesday, I was much more impressed with both the tone of the letter and the content. I wouldn't say that I liked all of the answers - and I'll come on to that shortly - but at least I felt that the Glovers Trust had been sent a letter that had attempted to answer their questions in good faith. On that point, I hope that Mr Fry (and the club) can continue their communication with supporters along those sort of standards, and I think the Glovers Trust deserve a lot of credit for keeping their focus on what they wanted to achieve. Certainly the answers to the second letter gave me a far better understanding of what is at stake for the club than the first letter had.

There are a number of issues that came out of the club's communication that are worth analysing. The first is that we finally understand the split of the Huish Park land across the two companies. The specific split is relevant if one company or the other happened to be sold to another party, or if one of the two companies were to fall into financial distress. There is a risk to decoupling what most fans will simply know as 'Yeovil Town FC' and of course an overhead in that more than one company has to have its financial books kept and audited.

The actual split of land between the two companies is an interesting one though. The club's rationale that was stated for forming the Yeovil Town Holdings Limited company was that it would provide a separation between the football business and any commercial stores or outlets that bought or leased land from the club. The claim was that would-be investors would not be prepared to lease land directly from a Football Club because the reputation of football clubs is that they are in the habit of financially defaulting.

However, as John Fry states, the club do not own the freehold of around four acres of land on the East side of the stadium. The area of this land can be visualised by supporters easily because it is the lower part of the East (Screwfix) Stand car park, at the point at which you go down by a dip of about six inches when driving into the area. This strip also extends out as for as Copse Road, and so cuts across the two top pitches. The freehold of this land is actually owned by South Somerset District Council, and is provided to the club on a leasehold agreement on the basis that it will be a benefit to the community for sports and leisure purposes. So it's easy to see why the Council are insisting that the club fulfil the obligation to replace that land when part of the development includes an area that the club don't own the freehold for.

The other interesting aspect that this shows up is that when we examine the April 2015 plans that were submitted to the Council, it's possible to see on the first and second diagrams that show the plans, where the dividing line is - a thin dotted line runs from top to bottom through the edge of the Convenience Store, through the middle of the Sports Clinic and to the left of the Hotel. If this ownership split was left in place, then in the case of the Convenience Store and the Sports Clinic, they would be leasing with two different legal Companies, whilst the Hotel Chain would be dealing directly with the Football Club, which is contrary to the club's stated rationale for splitting the land up. Thus we may see more land passed under the control of Yeovil Town Holdings in the future, although that is an assumption on my behalf.

John Fry's letter also covers the question of the Legal Charge, that was lodged against the Yeovil Football and Athletic Club company (aka Yeovil Town FC) in October 2016. Again, the letter gave confirmation that nine months on from the original decision that was taken by the club's Directors, that they have not had cause to add debt to that Charge. So if we accept the club's stated motivation for implementing that Legal Charge, it's not been used.

Mr Fry confirms that there are legal costs in removing that charge of up to 500 plus VAT. It's probably reasonable to assume the same level of costs were incurred in creating the Legal Charge. Thus if the Charge is never utilised to give the Football Club the benefit of temporary cash, then the effect will be that the club will end up spending 1,000 plus VAT for zero benefit. Given the financial constraints that the football club operates under, I would question whether we can easily afford to waste around 1,200 on something they don't gain from. There is a certain contradiction between a company being so skint that it feels the need to set up a secured loan agreement, yet so flush that it can afford to spend funds on something it never follows through on.

This is where I would question some of the club's priorities. Past projects such as the partnership with Blue Sky International (the American firm that promised the club an artificial pitch and first team trips to the Bahamas) and the pursuing of the 2011 Food Store development project despite it being obvious that it would fail, have invested a lot of time and money into scenarios that have resulted in zero benefit to the club, whilst matters like the tea bars at Huish Park come up week-after-week without resolution - something that would deliver clear benefit to the club if it was addressed. The impression is that the club are running up far too many cul-de-sacs whilst leaving some of the central themes unaddressed.

The last area of Mr Fry's letter that I'd centre on is the issue of Norman Hayward's active loans to the club. I was a bit confused by the response in the letter which indicated that the club had until October 2021 to repay any loans attached to the Legal Charge. The Glovers Trust were specifically referring to the Charge lodged with the core YTFC company, rather than the Holdings company, but you'd expect any loan repayment deadline to be set up at the time that the money is borrowed, and not when there's nothing to be repaid. I did wonder if this was an innocent error on Mr Fry's behalf, and that he was intending to refer to the Holdings company loan of 427,000.

Either way, whether that 427,000 sum has the October 2021 deadline against it or not, it's probably safe to assume it does have a deadline or a call-in notice against it, otherwise securing the debt against Huish Park would be a bit pointless. As explained in the letter to the Trust, if Norman Hayward dies or has a change in his health that means he cannot represent himself, his affairs will then become represented by an Executor (a nominated person who is often a solicitor) whose job it is to carry out his Will. Unless the contents of Mr Hayward's Will leave everything to a football-loving millionaire, the Executor's job will be to pool together as much of Hayward's assets as quickly as possible, and then write out cheques to the recipients named in his Will. If that involves calling in loans, or selling off assets, the Executor will do that. Note, this doesn't apply to Mr Hayward's shares, which would remain unaffected until a specific buyer could be found - the value of those shares can't be realised by the Executor until that happens.

As such, the club's Directors should be working off that 'worst case scenario' with the secured loan(s). If they reach October 2021 (or any other relevant date) and Mr Hayward is alive and well, and says with a smile 'carry on chaps' then that's good, but as a secured legal agreement they have to plan on the basis that the money owed would have to be repaid on that date. It would be good if the Glovers Trust can get clarification on whether that October 2021 date applies to the 427,000 loan or if a different date applies, as it was the one part of the letter where I couldn't make up my mind exactly what was being said.

That all said, I would rather this information is out in the open, so that supporters of the club can understand what risks and challenges the club may face over the next five years. Those that recall the 1991 Bingo Hall meeting that told us the club was close to bankruptcy following the move to Huish Park will recall that there was very little prior warning - it was the unseating of former Chairman Gerry Lock, and the new board going through the finances that exposed the ugly situation. So it's better for the current Board to be open and honest with the fans, which I think this latest letter largely attempts to be.

The other point that the letter raised, which wasn't connected with the Legal Charge, was Mr Fry's call for the Glovers Trust to sign up to the Achieve By Unity Supporters Consortium. I've already blogged why this is not possible. To quote directly from the club's official website, the purpose of the Supporters Consortium is "to bring together official Yeovil Town supporter groups". As the constitution of a Supporters Trust is that it is independent of the Football Club, the Trust would be breaking its own framework by signing up to such a thing. So either the club has to change the terms of reference of its Supporters Consortium to allow for unofficial/independent organisations to join, or it has to accept that as a result of its own restrictive terms, it would have to meet the Trust separately. That was the one part of the letter from the club that I was disappointed - the club have knowingly put in the restriction, and it's their responsibility to deal with it.

Finally, and on a rather different note, we had the launch of the 2017-18 home shirt last week. I like the general design of the front of the home shirt - less impressed with the way the back looks although that may look better once sponsors and shirt numbers appear on them. However, the one bit that really grates badly is the introduction of the three gold stars above the crest.

There is a reason why only around half a dozen clubs have used stars on their shirts. Whilst there is no hard set rule to who should have stars and why, the running theme of those who have used them is that they've achieved something fairly unique in the game, such as Nottingham Forest's two European Cups under Brian Clough, and Huddersfield Town's three First Division titles. Other clubs were some of the earliest FA Cup winners. What they all have in common is that they are clubs that have won top flight national or European trophies.

To award ourselves the same for merely existing in a League is a bit beyond the pale. More so, we appear to be awarding these stars after 14 seasons in the Football League, but against a benchmark that would only be achieved once we have completed 15 seasons. When you were in Primary School and your teacher awarded you a star, you got one upon the completion of the exercise, and not upon an assumption that you would complete it! I realise it's 99.9% certain that we will complete the 2017-18 season, but it would be acutely embarrassing if our third "gold star" coincided with our relegation. Let's not tempt fate, eh?

But regardless of whether we've had 14 years in the Football League, or whether you believe it justifiable to award stars in advance as a presumption of 15 years of 'achievement', my view on this is that it's a daft idea that is disrespectful to clubs like Nottingham Forest and Huddersfield that had made landmark achievements. If all Football League and Premier League clubs took up this benchmark, then with the exception of Accrington Stanley, the twelve original Football League members, including Aston Villa, Bolton Wanderers, Burnley and Preston North End, would be on their way to sticking 26 gold stars on their shirts, given they're about to have their 130th seasons in the professional leagues.

That's why it should have been canned before it got near the supporters. Hopefully someone in the club can come to their senses and remove them from the shirt before the it goes on sale and is worn by the players - I'd rather see a u-turn that might cause some minor embarrassment, than having it be fully launched. Get rid of the stars, and then we can hopefully wear what is a decent looking shirt with pride.

Could not agree more regarding the stars on the new shirt. It's completely embarrassing and typically non-league in approach, as usual. Opposition fans aren't going to mention that much, are they? Show some sense for once and ditch the stars. If not, I can see that some fans will consciously NOT buy a new shirt, and that rather defeats the whole cash-cow concept, doesn't it?

Great article, as ever, and totally agree that JF/the board will need to actually communicate at long last this season. On the subject of the 3 stars, what an egotistically arrogant blunder by the club. I put it down to Fry's delusions about how amazing his club is in the football pyramid, and how the EFL should bow down to his wondrous achievements. Such as the dizzying height of ....avoiding relegation last term, wow!

My question would be though , whose stupid idea was in the first place ?
Was it the same person who thought that black sleeves was a good idea last year ?
And while on the subject of shirts , can I just say that the only people who should wear black shirts on a football field , in my opinion , are the officials and no-one else .

The stars are ridiculous. Utterly deranged. You should win stars / medals for winning things - status, achievement. Not simply participating.

It shows the incredible lack of 1) ambition; and 2) understanding of the world of football that plagues the club.

When we go down will we have 21 stars to celebrate 109 years of non-league football? Or go back to one star to celebrate having won the conference before?

So a good time to buy funeral black to wear on the day that YTFC league presence dies. As with the present stewardship, does anyone have any hope of something headier than relegation this time. Given that this year was seen as a successful outcome by the board

Unfortunately the gold stars issue is yet another example of the club not communicating with fans. Yeovil was a decent club and very loyal fanbase up to around 5 / 6 years ago. Now a division between fans and board unfortunately. Even though Yeovil is our club and you just don't stop supporting them, facilities and general feeling of being made welcome has gone massively backwards. Lucky in some respects to be still in the football league.

The stars on the shirt are a disgrace and really sums up the clubs 'small town' mentality, the same mentality that I believe contributed to two successive relegations. Rather than kicking on in League One or The Championship, the club seemed happy to be doing what I suspect many within the club would consider batting above our station. Stinks of the club being content with plodding along in the bottom half of L2.

Dolan leaving for The Exiles, Lacy gone, Dawson gone questions where we sit in our ability to retain and attract talent. What's the plan in terms of player recruitment and a framework to develop as a football team?
